Uganda’s registrar of companies has issued a stern warning against the practice of submitting fraudulent documents during company registration and filing processes. The office emphasized that such actions are criminal offenses and will be prosecuted accordingly.

Recent instances have highlighted attempts to use private arbitration clauses to evade scrutiny for forged filings. However, the registrar’s office has stated unequivocally that private arbitration cannot be used as a shield for illegal activities. Companies found to have submitted false information, whether in their initial incorporation documents or subsequent annual returns, face severe penalties.

These penalties can include hefty fines and, in more serious cases, imprisonment for the individuals involved. The regulator’s stance is aimed at maintaining the integrity of the business registration system and ensuring that all companies operating within Uganda adhere to legal and ethical standards.

The registrar’s office is committed to upholding the rule of law and preventing any form of deception that could undermine the business environment. All business owners and prospective entrepreneurs are urged to ensure the accuracy and authenticity of all documents submitted to the registrar. Ignorance of the law is not considered a valid defense.

The move is seen as crucial for fostering a transparent and trustworthy business landscape in Uganda, encouraging genuine investment and fair competition.
